NOTICE IS HEREBY GIVEN, pursuant to Section 109.34(F) of the Ohio Revised Code, that Kettering Adventist Healthcare d/b/a Kettering Health, an Ohio nonprofit corporation, proposes to consummate a “nonprofit combination” within the meaning of Section 109.34 of the Ohio Revised Code with Knox Community Hospital, an Ohio nonprofit corporation, whereby Kettering Health will become the sole corporate member of Knox Community Hospital. Knox Community Hospital operates a hospital and various outpatient and physician practice locations in Knox County, Ohio. The parties executed a definitive Member Substitution Agreement on October 29, 2026. Upon the closing of the transactions contemplated by this definitive agreement, which is expected to be January 1, 2027, Knox Community Hospital will continue its operations in Knox County. Notice of the proposed combination was submitted to the Office of the Ohio Attorney General on October 29, 2026.
